Terms and Conditions for Financial Collection Services

Important Notice

This is a legal agreement between you (referred to as “you” or “your”) and Denali Management Group (referred to as “we,” “us,” or “our”). Please read these Terms of Use (“TOU”) carefully, as they govern your access to and use of our website (the “site”). By accessing or using the site, or by clicking a button, checking a box, or otherwise taking any action to indicate your acceptance, you agree to be bound by these TOU. If you do not agree to these TOU, you must immediately stop using the Site.

We may amend or modify these TOU at any time, with or without prior notice, provided that such changes will not apply retroactively to usage or claims arising before the date of the change. Your continued use of any part of the site after changes are posted constitutes your acceptance of the updated TOU. Because of this, it is important that you review the TOU each time you access the site to understand which terms are currently in effect. The “Effective as of” date at the top of this page indicates the most recent revision.

License Grant

Subject to your compliance with these TOU, we grant you a personal, revocable, limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the site solely for your personal, non-commercial use.

You may print materials or information from the site for your personal use only, provided that all copyright and other proprietary notices contained in such materials are preserved. You may not:

(i) use, copy, store, reproduce, transmit, distribute, display, sell, license, sublicense, modify, or otherwise exploit the site or any portion of it except as expressly permitted in these TOU;

(ii) reverse engineer, decompile, disassemble, translate, or create derivative works from the site;

(iii) access or attempt to access any source code of the site;

(vi) submit false, misleading, or fraudulent information in connection with any account; or

(vii) attempt to test, breach, or circumvent any security or authentication measures related to the site.

By accessing or using the site, you agree to comply with all applicable local, state, national, and international laws, regulations, and rules. You are solely responsible for your use of the Site and for ensuring that your use complies with these TOU. You are also responsible for any consequences arising from your use of the Site.

Proprietary Rights

Unless otherwise indicated, all content and materials on the site—including, but not limited to, text, graphics, images, photographs, illustrations, designs, logos, icons, audio and video materials, software, code, databases, and the overall look and feel of the Site—are owned, controlled, or licensed by us and are protected by copyright, trademark, and other intellectual property laws.

No rights, title, or interest in or to the site are transferred to you by your use of the Site. All rights not expressly granted in these TOU are reserved. Our names, logos, and all related product and service names, designs, and slogans are trademarks or service marks owned by us or our licensors. You may not use such marks without our prior written permission.

Accounts and Security

To access certain features of the site, you may be required to create or log into an account (“User Account”). You must be at least 18 years of age and a legal resident of the United States to create or use a User Account.

You agree to provide accurate, current, and complete information when creating or updating your User Account and to maintain the confidentiality of your login credentials. You are responsible for all activities that occur under your User Account. You agree to notify us immediately of any unauthorized use of your User Account or any other breach of security.

We may suspend or terminate your User Account if we believe you have violated these TOU or engaged in fraudulent or unlawful activity.

Electronic Communications

By using the site or providing us with your email address, telephone number, or other contact information, you consent to receive communications from us electronically, including emails, text messages, and notices on the Site.

You agree that all agreements, disclosures, notices, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You may manage or opt out of certain electronic communications by following the instructions provided in those communications or in our Privacy Policy.

Disclaimer of Warranties

The site is provided on an “as is” and “as available” basis and may include errors or inaccuracies. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of title, non-infringement, merchantability, and fitness for a particular purpose.

We do not warrant that the site will be uninterrupted, error-free, secure, or meet your requirements, or that any defects will be corrected.

Limitation of Liability

To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages (including, without limitation, damages for loss of profits, data, or other intangible losses) arising out of or in connection with your use of or inability to use the site, whether based on contract, tort, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any and all claims arising out of or related to your use of the site shall not exceed one hundred U.S. dollars (US$100).

Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to your use of the site or these TOU shall be resolved by binding arbitration rather than in court, except that you may assert qualifying claims in small claims court.

The Federal Arbitration Act and federal arbitration law apply to this agreement. Arbitration shall be conducted by a recognized arbitration provider (such as the American Arbitration Association or JAMS) under its applicable rules. You and we agree that any arbitration or dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

If, for any reason, a claim proceeds in court rather than in arbitration, you and we waive any right to a jury trial.

Termination

We may, in our sole discretion and without prior notice, suspend or terminate your access to the site, including your User Account, if we believe you have violated these TOU, engaged in fraud, or used the Site in a manner that is unlawful or harmful.

Upon termination, all rights granted to you under these TOU will immediately cease. You may terminate these TOU at any time by ceasing all use of the site. Provisions that by their nature should survive termination shall survive, including proprietary rights, warranty disclaimers, limitations of liability, and dispute resolution.

Governing Law

These TOU are governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of law principles and subject to the arbitration provisions above. Any claim arising out of or relating to these TOU or the site must be brought within two (2) years after the cause of action arises, or such claim is permanently barred.

Miscellaneous

If any provision of these TOU is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision of these TOU shall not be deemed a waiver of that provision or any other provision.

These TOU, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the site and supersede all prior or contemporaneous understandings, agreements, or communications, whether oral or written, relating to the same subject matter.
